Kedesa is a local marketplace and technology platform that helps community members, customers, and businesses discover and connect with nearby opportunities. Kedesa may provide business discovery, deals, community posts, local announcements, Kedesa Connect, Deal Demand, business tools, promotional placements, and other marketplace features.

Except when Kedesa is directly selling a Kedesa platform service, Kedesa is generally not the seller, service provider, employer, landlord, event organizer, or party to an arrangement between users and third parties. Users are responsible for evaluating the people, businesses, products, services, offers, and opportunities they choose to engage with.

You must provide accurate information and keep account information reasonably current. You are responsible for maintaining the confidentiality of your credentials and for activity that occurs through your account unless prohibited by law.

Business accounts and paid Kedesa services are intended for users who are legally able to enter into binding agreements. You may not impersonate another person or business, create misleading accounts, or use an account you are not authorized to control.

Users and businesses may submit content including business details, listings, deals, photos, announcements, community posts, demand information, messages, and other marketplace material. You are responsible for content you submit and for having the rights and permissions necessary to publish it.

Content must be accurate in all material respects and may not be fraudulent, deceptive, illegal, infringing, threatening, harassing, discriminatory, malicious, dangerously misleading, or designed to manipulate Kedesa systems or users.

By submitting content, you grant Kedesa a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, distribute, and otherwise use that content as reasonably necessary to operate, promote, secure, and improve Kedesa. You retain ownership rights you otherwise have in your content.

Businesses are responsible for the accuracy of their identity, location, operating information, deal terms, availability, inventory, prices, services, licenses, permits, qualifications, and other representations. Businesses must honor material terms that they publish and must not create false scarcity, fabricated offers, misleading discounts, or deceptive marketplace activity.

Kedesa may verify or review certain business information. Verification is not an endorsement or guarantee and does not transfer responsibility for the business's conduct to Kedesa.

Community features are intended for genuine, useful local information. Yard sales, community finds, neighborhood activity, and similar posts should use accurate descriptions, dates, locations, and other relevant details. Users should avoid publishing another person's private information without authorization.

Kedesa may classify, categorize, edit presentation details, limit distribution, remove, or moderate content when reasonably necessary to organize the marketplace, correct platform presentation, respond to reports, enforce these Terms, or protect users and the service.

Certain business tools, allowances, add-ons, subscriptions, or promotional placements may require payment or an eligible Kedesa plan. The price, quantity, billing type, included allowance, duration, and other purchase terms shown at checkout or on the applicable product page are part of your agreement with Kedesa.

Kedesa may use a third-party payment provider to process payment details. You authorize the applicable charges when you submit a purchase. Taxes may apply where required.

Plan access and feature allowances can change when a trial expires, a subscription changes, an included allowance is used, or an add-on balance is exhausted. Unless Kedesa expressly states otherwise for a specific feature, unused allowances do not have cash value.

Homepage Spotlight and other reviewed promotional placements may require a reservation, preview confirmation, payment, and Kedesa approval. Submission or payment does not guarantee immediate publication or approval. Kedesa may reject, request changes to, reschedule, restrict, or remove promotional content that does not meet platform requirements.

Any credit, refund, rescheduling, or replacement terms specifically shown for the promotion or communicated by Kedesa will govern that placement.

You may not use Kedesa to:

• commit fraud, facilitate unlawful transactions, or deceive users;
• harass, threaten, exploit, discriminate against, or impersonate others;
• publish malware, attempt unauthorized access, scrape or overload the service in a way that harms Kedesa, or bypass access controls;
• manipulate ratings, reports, demand signals, analytics, visibility, business verification, plan allowances, promotional inventory, or other platform systems;
• collect or misuse personal information without a lawful and legitimate purpose;
• post content or offers that violate applicable law, intellectual-property rights, or Kedesa rules; or
• use Kedesa in a way that creates unreasonable safety, security, legal, or operational risk.

Kedesa may investigate reports and platform activity and may edit, limit, reject, remove, suspend, or terminate content, features, transactions, promotions, or accounts when reasonably necessary to enforce these Terms, protect users, prevent abuse, comply with law, or maintain marketplace integrity.

Serious or repeated violations may result in loss of platform access. Kedesa may also preserve information where reasonably necessary for security, fraud prevention, dispute handling, or legal compliance.

Kedesa is provided on an "as available" basis to the extent permitted by law. Marketplace information can change quickly. Kedesa does not guarantee that a third-party listing, deal, price, business, service, rental, event, community post, availability statement, verification status, or other user-submitted information will remain accurate, available, safe, or suitable for your needs.

You are responsible for using reasonable judgment before entering into a transaction or arrangement with another user or business.

To the maximum extent permitted by applicable law, Kedesa and its owners, operators, affiliates, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from third-party marketplace activity, user content, lost opportunities, or use of or inability to use the platform.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

Kedesa will continue to evolve. We may add, modify, suspend, or discontinue features and may update these Terms when the platform, law, or operating requirements change. The effective date above identifies the current version. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
